ERRUNNED TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE ERRUNNED APPLICATION, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE.

SECTION 1: THE SERVICE AND RELATIONSHIPS

This section defines what Errunned is—and, more importantly, what it is not.

1.1 The Marketplace Model: Errunned LTD ("Erruned") provides a digital marketplace platform. Our sole function is to connect independent service providers ("Runners") with users seeking assistance ("Clients").

1.2 Independent Contractor Status: Runners are entirely independent. They are not employees, partners, or agents of Errunned. Errunned does not provide tools, uniforms, or directions on how a task is performed. Runners retain full autonomy over which tasks they accept. Errunned’s role is limited to facilitating connections and supporting the transaction process. Nothing in these Terms shall be construed as creating an employment, agency, or partnership relationship between Errunned and any Runner.

1.3 Skill Disclaimer: Errunned does not vet the technical skills or professional qualifications of Runners. All skills listed on a Runner’s profile are self-proclaimed. Tasks are strictly limited to "simple maneuvers" that a Client could reasonably perform themselves.

1.4 No Guarantee of Outcome: While we provide the platform for connection, and implement measures to promote reliability and safety, Errunned does not guarantee that a task will be completed, that it will meet a specific standard of quality, or that any user (Client or Runner) is honest. Users engage with one another at their own risk.

1.5 Service Availability: Errunned does not guarantee that the platform will be available at all times or free from interruptions. Access to the service may be affected by maintenance, updates, system failures, or events beyond our control. Errunned shall not be liable for any loss or inconvenience resulting from temporary service interruptions or unavailability.

SECTION 2: USER ELIGIBILITY AND ACCOUNT INTEGRITY

This section outlines the requirements to enter the marketplace and the grounds for immediate removal.

2.1 Minimum Age: All users must be at least 18 years of age. By creating an account of any type, you represent and warrant that you meet this requirement. Errunned reserves the right to suspend any account where the user cannot confirm they meet the minimum age requirement.

2.2 Runner Verification Requirements: To maintain platform integrity, Runners must provide:

  • A valid National ID.
  • A clear "verification photo" (displaying the Runner's face next to their ID).
  • A valid Certificate of Good Conduct.

2.3 Identity Fraud: Errunned maintains a zero-tolerance policy for falsified documents. We reserve the right to instantly and permanently terminate any account found providing forged identities or misrepresenting their person.

2.4 Account Deactivation: We reserve the right to deactivate or suspend any account that violates our policies, including but not limited to, harassment, illegal activity, or consistent unresponsiveness. Users may contact Errunned to request a review of account actions. Errunned will assess such requests in good faith but retains the final decision regarding account status.

SECTION 3: PAYMENTS, COMMISSIONS, AND ESCROW

This section governs the flow of money and protects the platform's revenue model.

3.1 The Escrow Process: To ensure trust, Errunned uses an escrow model. When a Client creates a task, the total amount (Task Fee + Service Fee) is charged immediately and held securely by Errunned.

3.2 Commission and Deductions: Errunned charges a percentage-based commission for facilitating the match. This commission is automatically deducted from the total task amount before the remaining balance is released to the Runner.

3.3 3rd Party Payment Processors: Financial transactions are handled by third-party providers (e.g., M-PESA). Errunned is not liable for transaction delays, network failures, or errors originating from these external processors.

3.4 Off-Platform Transaction Ban: Users are strictly prohibited from using Errunned to initiate contact and then completing payment outside the App (e.g., cash, direct mobile transfer) to avoid commissions.

  • Consequences: Engaging in off-platform transactions waives all dispute protections, security bond coverage, and may result in an immediate ban for both the Client and the Runner.

3.5 Refunds: Refunds may be issued under the following circumstances:

  • Task cancellation prior to commencement
  • Failure of task completion due to no fault of the Client
  • Verified disputes involving non-performance, loss, or damage

Refund amounts may be partial or full depending on the stage of task execution and applicable service fees. All refund decisions are subject to review in accordance with the dispute resolution process.

SECTION 4: THE COURIER SECURITY BOND (RUNNER DEPOSIT)

This section explains how the app protects the value of goods being delivered.

4.1 Requirement for Courier Tasks: To accept tasks involving the transport of goods (Courier Gigs), a Runner must maintain a Courier Balance, a Security Bond.

4.2 Variable Amount: The required balance is not fixed; it is determined by Errunned based on the specific platform requirements at the time. Errunned will provide Runners with at least 7 days’ written notice (via in-app notifications or registered email) before any increase to the required Bond amount takes effect.

4.3 Automatic Dispute Deductions: The Courier Security Bond serves as a form of performance assurance. In the event of a dispute involving alleged loss, theft, or damage to goods, Errunned may temporarily restrict access to the relevant portion of the Security Bond while an investigation is conducted. Any deduction from the Security Bond will only be made following a review of available evidence, including task records, communication logs, and submitted media. Errunned’s decision will be guided by principles of fairness, reasonableness, and available evidence.

4.4 Refundability: This deposit remains the property of the Runner and is held securely. It is refundable upon the permanent closure of the Runner's account, provided there are no active disputes or outstanding liabilities.

SECTION 5: LIVE TASK MONITORING AND GEOLOCATION

This section defines the transparency required for a successful "Errand."

5.1 Location Tracking and Consent: By activating their account for task participation or accepting a task, Runners expressly consent to the collection and use of their real-time location data for the purposes of task execution, safety monitoring, and dispute resolution. Location tracking may occur during active tasks and may continue temporarily if the application is minimized. Users may control location permissions through their device settings; however, disabling such permissions may limit access to core platform features.

5.2 Client Visibility: To ensure peace of mind, the Task Creator (Client) is granted access to the Runner’s live location for the duration of the task execution.

5.3 Automated Check-ins and Flagging: The App requires periodic automated check-ins. If a Runner’s GPS suggests significant deviation from the task path or if check-ins are missed:

  • The Runner will be "Flagged."
  • The Client will be notified and can initiate a Reallocation Check.
  • The Runner must confirm their presence via the App within 20 minutes. Failure to do so results in the Runner being dropped and the task being made available for reallocation.

SECTION 6: CANCELLATIONS, COOLDOWNS, AND PENALTIES

This section ensures that once a task is started, there is a cost to breaking the commitment.

6.1 Client Cancellation Penalties: If a Client cancels a task after a Runner has already commenced work, the Client shall incur a penalty.

  • Minimum Charge: 10% of the service fee.
  • Escalation: The penalty increases based on the time elapsed since the task began.
  • Runner Compensation: This penalty, minus Errunned's cut, is released to the Runner as compensation for their time and effort.

6.2 Runner Cancellation (The Cooldown): To maintain reliability, Runners who cancel an accepted task will be placed in an inactive "Cooldown Period."

  • Initial Penalty: 30 minutes of inactivity.
  • Subsequent Violations: The cooldown doubles for each consecutive cancellation (60m, 120m, etc.) up to a maximum of 24 hours per individual cancellation event. During this time, the Runner is blocked from accepting any new tasks.

SECTION 7: DISPUTES AND EVIDENCE RETENTION

This section defines how "The Truth" is determined when two users disagree.

7.1 Final Authority: Errunned Administrators hold the final authority to resolve disputes, issue refunds, or release overdue escrowed funds. While Errunned may review and make determinations based on available evidence, all decisions are made in good faith, guided by reasonableness, platform policies, and the information provided by the parties.

7.2 Evidence-Based Resolution: To ensure fairness, our team will use all available platform data to settle disputes, including but not limited to:

  • Runner geolocation history.
  • In-app chat logs.
  • Media uploads (photos/videos of goods or task completion).

7.3 Data Retention and Storage: Evidence is stored securely to protect all parties. To manage storage expenses, media uploads (photos/videos) are generally cleared on a monthly basis. However, Errunned reserves the right to retain specific data longer if there is an active dispute, a legal hold, or a request from Kenyan law enforcement.

SECTION 8: CONDUCT, SAFETY, AND CONTENT

This section outlines the rules for human interaction and the protection of Errunned’s assets.

8.1 Zero Tolerance Policy: We maintain a zero-tolerance policy for harassment, discrimination, or abusive language in the in-app chat or during physical tasks. Any violation will result in account suspension and/or deactivation.

8.2 Reviews and Reputation: Users may rate their experience. However, Errunned reserves the right to remove reviews that are deemed fraudulent, retaliatory, or intended to unfairly damage a user’s reputation.

8.3 Intellectual Property (IP): All rights, title, and interest in the Errunned platform—including its software, design, logos, trademarks, and content—are owned by Errunned LTD.. Users are strictly prohibited from emulating, recreating, or reverse-engineering any portion of the platform. By submitting or uploading content to the platform (including profile information, images, and task-related media), users grant Errunned a limited, non-exclusive, royalty-free license to use, store, display, and process such content solely for the purpose of operating, improving, and promoting the platform.

8.4 Marketing Rights: Errunned may request permission to use certain user-generated content (such as profile images or anonymized excerpts of interactions) for marketing and promotional purposes. Such use will only occur where the user has provided explicit consent. Users may withdraw this consent at any time by contacting Errunned. Errunned will not use sensitive personal data or private communications for marketing purposes without clear and informed consent.

8.5 Legal Reporting: Errunned reserves the right to flag, cancel, and report any tasks that appear to involve illegal activity to the relevant Kenyan authorities.

SECTION 9: LIABILITY, INDEMNIFICATION, AND ARBITRATION

9.1 No Insurance / "As-Is": Errunned provides the platform on an “as available” and “as is” basis. While we strive to maintain reliability, we do not guarantee uninterrupted access, error-free operation, or continuous availability. We do not provide insurance for accidents, personal injury, or third-party property damage. Users engage in tasks entirely at their own risk. To the fullest extent permitted by law, Errunned disclaims warranties of any kind, whether express or implied.

9.2 Indemnification: You agree to indemnify and hold Errunned harmless from any claims, losses, or legal fees arising from your use of the platform or your interactions with other users.

9.3 Dispute Resolution and Arbitration: In the event of a dispute arising out of or relating to these Terms or the use of the platform, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. If the dispute cannot be resolved informally, it shall be referred to arbitration in accordance with the Arbitration Act (Cap 49) of Kenya.

  • Location: Arbitration shall take place in Nairobi unless otherwise agreed.
  • Procedure: The arbitration shall be conducted by a single arbitrator appointed in accordance with the Act.
  • Costs: Each party shall bear its own costs
  • Finality: The decision of the arbitrator shall be final and binding on all parties.

SECTION 10: FORCE MAJEURE

Errunned shall not be held liable for any failure or delay in the performance of its obligations where such failure results from events beyond its reasonable control. These events may include, but are not limited to, acts of God, natural disasters, network or telecommunications failures, power outages, strikes, civil unrest, government actions, or failures of third-party service providers.

During such events, Errunned will make reasonable efforts to restore services as soon as practicable.

SECTION 11: MODIFICATION TO THESE TERMS

Errunned reserves the right to update or modify these Terms of Service at any time to reflect changes in the platform, legal requirements, or business practices. Where significant changes are made, users will be notified through the application or via email. Continued use of the platform after such updates constitutes acceptance of the revised Terms.

Users are encouraged to review these Terms periodically.

SECTION 12: GOVERNING LAW

These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Kenya.

SECTION 13: GENERAL PROVISIONS

13.1 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full effect.

13.2 Entire Agreement

These Terms of Service, together with the Errunned Privacy Policy and any other policies or guidelines incorporated by reference herein, constitute the entire agreement between you and Errunned with respect to your use of the platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

13.3 No Waiver

Errunned's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision, nor shall it prevent Errunned from enforcing that right or provision on any subsequent occasion.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Errunned's prior written consent.
